1. Introduction

The Provider grants the Customer a non-exclusive, non-transferable, revocable license to access and use the Service for internal business purposes.

• Access to source code is not included.
• The software may not be modified, copied, or distributed.
• The Service may not be resold or sublicensed.

4. Ownership and Intellectual Property

All intellectual property rights in the Service, including software, code, design, and documentation, remain the sole property of the Provider. Nothing in these Terms transfers ownership of the Service or any intellectual property to the Customer.

5. Customer Responsibilities

• Use the Service lawfully.
• Keep login credentials secure.
• Do not reverse engineer, decompile, or interfere with the Service.
• Do not use the Service to provide competing services.

6. Fees and Payment

The Customer agrees to pay all applicable fees as agreed. Failure to pay may result in suspension or termination of access to the Service.

7. Data

Customer data entered into the Service remains the property of the Customer. The Provider may access and process data solely to operate the Service, provide support, and maintain and improve the system.

The Customer is responsible for the accuracy and legality of their data.

8. Availability

The Provider will use reasonable efforts to keep the Service available but does not guarantee uninterrupted or error-free operation.

• Maintenance
• Updates
• Technical issues
• Events outside the Provider's control

9. Support

Support is provided as agreed separately or on a reasonable-effort basis.

10. Termination

The Provider may suspend or terminate access if fees are unpaid or the Customer breaches these Terms.

• Access to the Service will cease.
• The Provider may delete Customer data after a reasonable period.

11. Limitation of Liability

To the maximum extent permitted by law, the Provider is not liable for indirect or consequential loss, loss of data, or loss of profits or business.

12. Disclaimer

The Service is provided "as is" without warranties of any kind, except as required by law.

13. Changes to the Service

The Provider may modify or improve the Service at any time.

14. Changes to Terms

These Terms may be updated from time to time. Continued use of the Service constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of Australia.
